On July 31, 2002, a purported class action lawsuit was filed in the United States District Court for the Central District of California against Charter Communications, Inc. and certain of its executive officers on behalf of purchasers of securities of Charter Communications, Inc. from November 9, 1999 through July 17, 2002. The complaint alleges that Charter Communications, Inc. and certain of its executive officers violated federal securities laws by issuing materially false and misleading statements relating to the financial performance of Charter Communications, Inc. Charter Communications, Inc. believes that the lawsuit is without merit and intends to vigorously defend the action. On August 6, 2002, Charter Communications, Inc. issued a press release announcing its results for the second quarter ended June 30, 2002.
