FITCH RATINGS UPGRADED TURKCELL’S LOCAL CURRENCY RATING

Subject: Statement made pursuant to Circular VIII, No: 39 of the Capital Markets Board.

Special Subjects:

International rating agency Fitch Ratings has today upgraded Turkcell’s Long-term local currency rating to ‘BBB-’ from ‘BB+’ and revised the outlook from Positive to Stable.

The rating agency based the aforementioned upgrade on Turkcell’s impressive operating performance that continued in 2006 and the first quarter of 2007 despite increasing competition in the Turkish telecom market, good long-term growth prospects in the domestic market, cash generation capability and favorable credit profile.

We hereby confirm that the above-mentioned explanations are furnished as per the provisions of the Communiqué Serial no VIII/39, that they reflect all information we have gathered so far, that they are in accordance with our corporate documents, that we have used all endeavors to collect the complete and true related information and that we assume the responsibility for this disclosure.
