Item 1.01. Entry into a Material Definitive Agreement.
Effective March 19, 2007, Research Frontiers Incorporated entered into a
non-exclusive license agreement with SmartGlass International Ltd.(SGI)
granting SGI the license to manufacture and sell various architectural
glass products using the COmpany's SPD light-control technology in the
United Kingdom and in the Republic of Ireland.
The foregoing description of the license agreement with SGI does not purport
to be complete and is qualified in its entirety by reference to the License
Agreement, a copy of which is attached as Exhibit 10.46 to this Current Report
on Form 8-K and incorporated herein by reference.
