Item 1.01 Entry into a Material Definitive Agreement.

On July 18, 2005, the Board of Directors of Portfolio Recovery Associates, Inc. voted to increase the annual compensation of its Lead Director, David Roberts, from $30,000 to $35,000, effective July 1, 2005.
