MATERIAL FACT

In compliance with CVM Instruction 358, dated as of January 3, 2002, Brasil Telecom S.A. and Brasil Telecom Participações S.A. make public that, on March 17, 2005, they became aware that the United States District Court – Southern District of New York granted a preliminary injunction determining that CVC/Opportunity Equity Partners, Ltd. file before the competent authorities of the Cayman Islands its substitution as general partner of CVC/Opportunity Equity Partners, L.P.

CVC/Opportunity Equity Partners, L.P. is a limited partnership, duly incorporated in Cayman Islands, that holds a stake in Brasil Telecom Participações S.A. and Opportunity Zain S.A., a company which integrates the controlling corporate structure of Brasil Telecom Participações S.A. and Brasil Telecom S.A.
