On September 28, 2017, Cogint, Inc., a Delaware corporation (the Company), sent written notice (the Notice) to its stockholders of record on September 6, 2017 pursuant to Section 228(e) of the Delaware General Corporations Law (the DGCL) of the actions approved on such date by the holders representing a majority of the issued and outstanding shares of common stock, par value $0.0005 per share (the Common Stock) entitled to vote by written consent in lieu of a meeting. As soon as practicable, the Company will also prepare and file with the SEC and mail to its stockholders an Information Statement on Schedule 14C (the Schedule 14C) to comply with the notice requirements for actions taken by written consent under the Federal securities laws. Under the Federal securities laws, none of the corporate actions approved by the written consent may be taken until 20 days after the Schedule 14C has been mailed to the Companys non-consenting stockholders.
