On October 26, 2016, the Board of Directors of Vocera Communications, Inc. (the Company) approved an amendment to Section 18 of the Companys 2012 Equity Incentive Plan (the 2012 Plan), which became effective immediately. The amendment eliminates the ability of the Company to reprice outstanding options granted under the plan without stockholder approval.
The foregoing summary of the 2012 Plan does not purport to be complete and is subject to, and qualified in its entirety by, the amendment to the 2012 Plan, a copy of which is attached hereto as Exhibit 10.1.
Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On October 26, the Board approved an amendment to the Companys Restated Bylaws, which became effective immediately. The amendment revised the language of Article I, Section 1.7 to provide that in an uncontested election, in order for a nominee to be elected to the Board, the votes cast for such nominees election must exceed the votes cast against such nominees election. In connection with the amendment to the Restated Bylaws, the Board also approved a revision to the Corporate Governance Guidelines to require that a director nominee (or new appointee) tender his or her resignation in the event of an adverse vote, and, following the recommendation of the Governance and Nominating Committee, the Board shall act upon such resignation within 30 days following the stockholder vote.
