Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective May 26, 2009, Patrick F. Stone resigned from the Board of Directors of The First American Corporation (the “Company”). Mr. Stone resigned because business opportunities he desires to pursue may place him into direct competition with the Company or result in actual or perceived conflicts of interest with the Company.
