MATERIAL DEFINITIVE AGREEMENT

On April 27, 2006, the Board of Directors of Key Tronic Corporation approved an increase in the biweekly salary of Jack W. Oehlke, the Company’s President and CEO, from $14,615.38 to $15,192.31, effective as of April 30, 2006.
