Other Events Mr. Paul Wolansky has informed the Company that he has resigned as a member of the board of directors of the Company with immediate effect. Mr. Wolansky has also resigned as one of the Company's nominees on the board of directors of Guangxi Yuchai Machinery Company Limited ("Yuchai"), a subsidiary of the Company. In December 2003, the board of directors of the Company determined to pay an amount of $30,000 to each of the Company's directors (six in total) and $20,000 to each of the Company's principal executive officers who are not directors (two in total), for their respective services to the Company during 2003. Accordingly, payments totaling $180,000 were paid to the Company's six directors and payments totaling $40,000 were paid to the Company's two principal executive officers who were not directors at the end of 2003.
