On May 18, 2015, Hudson Global, Inc. (the “Company”) granted the Company’s Chief Executive Officer 500,000 shares of common stock, 150,000 shares of which were subject to a service based vesting condition and up to 350,000 of which were subject to both a performance based vesting condition and a service based vesting condition (such 350,000 shares, the “Performance Shares”). The Company subsequently determined that 51,800 of the Performance Shares were not validly granted pursuant to the Company’s 2009 Incentive Stock and Awards Plan (the “Plan”) because they exceeded the limit on the number of Performance Shares that may be granted to any individual participant under the Plan. Accordingly, the attempted grant of these excess Performance Shares was ineffective, and they were never granted to the Company’s Chief Executive Officer. On April 30, 2016, the Compensation Committee of the Board of Directors of the Company approved, and the Company and the Chief Executive Officer executed, an Amended and Restated Restricted Stock Award Agreement and an Amended and Restated Executive Employment Agreement to correct such agreements to reflect the reduced number of Performance Shares that the Company granted on May 18, 2015.
