(1) | Non-employee members of the Board of Directors of Subaye, Inc. may elect to receive an option to purchase 20,000 shares of the Company's common stock in lieu of an aggregate annual grant of 10,000 shares of the Company's common stock. Additionally, non-employee members of the Board may elect to receive an option to purchase 3,200 shares of the Company's common stock for serving as a chairperson of a Board committee in lieu of an aggregate annual grant of 1,600 shares of the Company's common stock. Mr. Schafran serves as chair of the Audit Committee. |
