This Form 8-K/A is being filed as an amendment (the “Amendment No. 1”) to the Current Report on Form 8-K filed by Innovative Solutions and Support, Inc. (the “Company”) with the Securities and Exchange Commission on July 29, 2011 (the “Original Filing”), to include the correct press release announcing the Company’s financial results for its third quarter ended June 30, 2011.  The Original Filing contained an incorrect press release as Exhibit 99.1.  A copy of the correct press release and the attached financial schedules are attached as Exhibit 99.1 to this Amendment No. 1, replace Exhibit 99.1 to the Original Filing in its entirety, and are incorporated herein by reference.
