Other Events.

On June 8, 2009, DCAP Group, Inc. (the “Company”) issued a press release (the “Press Release”) with regard to the approval by Commercial Mutual Insurance Company’s policyholders of its plan of conversion from an advance premium cooperative to a stock property and casualty insurance company.  A copy of the Press Release is furnished as Exhibit 99.1 hereto.
