         Putting your personal accusations aside, what is beyond dispute is that
at the time Walter Hewlett made public confidential discussions of the HP
Compensation Committee, he knew that those discussions had already been rejected
and that the executive employment terms alluded to were not only incomplete but
were also set aside and are not to be used as any benchmark or basis for any
employment arrangements. As you and Walter Hewlett are well aware, the HP
Compensation Committee unanimously (including Walter) confirmed all of this in a
subsequent meeting. As ISS itself concluded, "there is certainly no `smoking
gun'" on the issue of executive compensation.
