     On August 23, 2005, The Scotts Miracle-Gro Company (the “Company”) issued a press release announcing that, effective October 1, 2005, Robert F. Bernstock has been promoted to President and Chief Operating Officer of The Scotts Company LLC, a wholly-owned subsidiary of the Company.
