Item 2.02. Results of Operations and Financial Condition.

On February 5, 2009, Belden Inc. issued a news release announcing its financial results for the quarter and the full year ending December 31, 2008. A copy of the release is attached as Exhibit 99.1 and is incorporated into this current report.
