Item 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 24, 2009, Preetinder S. Virk, Senior Vice President and General Manager, Enterprise and Customer Premise Equipment, of Mindspeed Technologies, Inc. (the “Company”) notified the Company of his intention to resign his employment with the Company to pursue other opportunities. The resignation will be effective April 10, 2009.
