Allied Capital Prices Public Offering of Common Stock
Washington, DC — April 18, 2008 — Allied Capital Corporation (NYSE: ALD) announced today that the Company has priced its public offering of 2,800,000 shares of common stock at an offering price of $17.87 per share for net proceeds, after the underwriting discount and estimated offering expenses, of approximately $49 million. Deutsche Bank Securities Inc. acted as the sole book-running manager for the offering. These shares were placed with a single institutional investor, who is subject to a 60 day lock-up. Allied Capital has granted the underwriters an option to purchase up to an additional 420,000 shares to cover over-allotments, if any, through May 7, 2008. The offering is subject to customary closing conditions and is expected to close on April 23, 2008. The shares were issued from the Company’s shelf registration statement on file with the Securities and Exchange Commission.
The Company intends to use the net proceeds of the offering to reduce borrowings under its revolving line of credit, to invest in debt or equity securities in primarily privately negotiated transactions, and for other general corporate purposes.
