Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 19, 2010, Jeffrey Finnin notified ProLogis of his decision to resign from the position of Managing Director and Chief Accounting Officer of ProLogis to become Chief Financial Officer of another publicly traded company. Mr. Finnin will remain as Managing Director and Chief Accounting Officer of ProLogis through December 31, 2010, in order to transition his responsibilities.
