(b)  Robert M. Baylis, having reached the mandatory retirement age of 70 pursuant to PartnerRe Ltd.’s Corporate Governance Principles and Application Guidelines, did not stand for re-election at the Annual General Meeting of Shareholders of PartnerRe Ltd. held on May 22, 2009 and consequently retired as a member of the Board of Directors upon the expiration of his term.
