(1) The reporting person is a member of a Section 13(d) group that owns more than 10% of the Issuer's outstanding Common Stock. The reporting person disclaims beneficial ownership of the shares of Common Stock of the Issuer owned directly by the other members of the Section 13(d) group except to the extent of his pecuniary interest therein.
(2) The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $2.13 to $2.26, inclusive. The reporting person undertakes to provide the Issuer and any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price such shares were sold.
(3) Includes 105,000 shares of restricted stock subject to prior shareholder approval and the reporting person's continuous service with the Issuer from the grant date through the vesting date; 5,000 of which will vest, in their entirety, on the day the price of the Issuer's common stock shall have closed at or above $2.00 per share for any five consecutive business days after the grant date; 50,000 of which will vest, in their entirety, on the day the price of the Issuer's common stock shall have closed at or above $2.25 per share for any five consecutive business days after the grant date; and 50,000 of which will vest, in their entirety, on the day the price of the Issuer's common stock shall have closed at or above $2.50 per share for any five consecutive business days after the grant date.
