Subject: Statement made pursuant to Circular VIII, No:54 of the Capital Markets Board

In the context of evaluating investment opportunities in neighboring countries, Turkcell's 55%-owned subsidiary, Inteltek Internet Teknoloji Yatirim ve Danismanlik Ticaret A.S. (“Inteltek”) received authorisation from Azerbaycan Azeridmanservis Limited Company to organize, operate, manage, and develop the fixed and paramutual sports betting business in Azerbaijan.

Inteltek will own 51% of a company named Azerinteltek, which will be domiciled in Azerbaijan. Azerinteltek will operate on an exclusive basis for a period of 10 years.

We hereby confirm that the above-mentioned explanations are furnished as per the provisions of the Communiqué Serial no VIII/54, that they reflect all information we have gathered so far, that they are in accordance with our corporate documents, that we have used all endeavours to collect the complete and true related information and that we assume the responsibility for this disclosure
