ITEM 5.02.     DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS;  ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

In a letter to Trump Entertainment Resorts, Inc. (the “Company” or the “Registrant”) dated August 17, 2010, James Rigot resigned from his position as General Manager of the Trump Plaza Hotel and Casino, effective October 8, 2010.  Upon Mr. Rigot’s resignation, his employment agreement will terminate in accordance with, and to the extent provided by, its terms.  Following the effective date of his resignation, provided that he enters into a customary mutual release in the form required by the Company, Mr. Rigot will be entitled to severance pursuant to the terms of his employment agreement in accordance with provisions thereof that apply following a “change-of-control” of the Company.
