This Amendment No. 2 to Schedule 13G (this "Amendment No. 2") is filed with
respect to the Common Stock of Star Bulk Carriers Corp., a Marshall Islands
corporation, to amend the Schedule 13G filed on December 28, 2007, as amended on
February 5, 2008 (the "Schedule 13G"). Capitalized terms used but not defined
herein have the meaning ascribed thereto in the Schedule 13G.

Item 4 of the Schedule 13G is hereby amended and restated in its entirety
as follows:
As of the close of business on December 31, 2008:
A. Giovine Capital

(a) Amount beneficially owned: 7,989,429 shares of Common Stock.
(b) Percent of class: 13.6%. The percentages used herein and in the rest of
this Schedule 13G are calculated based upon a total of 58,682,495 shares of
Common Stock issued and outstanding which is the sum of (i) 54,427,400 shares of
Common Stock issued and outstanding as of November 28, 2008 as reported in the
Issuer's Form 6-K/A filed with the Securities and Exchange Commission on
December 3, 2008, and (ii) 4,255,095 shares of Common Stock issued on December
1, 2008 as the stock portion of a dividend paid on or about December 5, 2008 as
reported in the Issuer's Form 6-K/A filed with the Securities and Exchange
Commission on December 3, 2008.
(c) Number of shares as to which such person has:
(i) Sole power to vote or direct the vote: -0-
