Item 1.01 Entry into a Material Definitive Agreement.
On December 17, 2015, IRADIMED CORPORATION (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Roger Susi, as trustee of the Roger E. Susi Revocable Trust (the Selling Stockholder) and Roth Capital Partners, LLC (the Underwriter) relating to a public secondary offering by the Selling Stockholder (the Secondary Offering) of an aggregate of 1,043,479 shares (the Secondary Shares) of the Companys common stock, par value $0.0001 per share (the Common Stock) at a public offering price of $24.25 per share (the Offering Price). Under the terms of the Underwriting Agreement, the Selling Stockholder granted the Underwriter a 30 day option to purchase up to an additional 156,521 shares of Common Stock to cover overallotments, if any (the Overallotment Option). The net proceeds to the Selling Stockholders from the sale of the Secondary Shares are expected to be approximately $27,936,000 after underwriting discounts and expenses (assuming a full exercise of the Overallotment Option). The Offering is expected to close on or about December 23, 2015, subject to the satisfaction of customary closing conditions.
The Primary Offering was made pursuant to the Companys effective registration statement on Form S-3, as amended (Registration Statement No. 333-207778) (the S-3 Registration Statement) previously filed with and declared effective by the Securities and Exchange Commission (the SEC) on December 7, 2015 and a preliminary and final prospectus supplement thereunder filed with the SEC (the Prospectus Supplement) on December 17, 2015 and December 18, 2015, respectively.
The Underwriting Agreement contains customary representations, warranties and agreements by the Company and by the Selling Stockholders, customary conditions to closing, indemnification obligations of the Company, the Selling Stockholders and the Underwriter, including for liabilities under the Securities Act of 1933, as amended, other obligations of the parties and termination provisions. The representations, warranties and covenants contained in the Underwriting Agreement were made only for purposes of such agreement and as of specific dates, were solely for the benefit of the parties to such agreement, and may be subject to limitations agreed upon by the contracting parties.
Pursuant to the Underwriting Agreement, directors and executive officers of the Company entered into agreements in substantially the form included as an exhibit to the Underwriting Agreement providing for a 60-day lock-up period following the date of the final prospectus supplement with respect to sales of specified securities, subject to certain exceptions including the Secondary Offering.  Pursuant to the Underwriting Agreement, the Selling Stockholder entered into a “lock-up” agreement for a period of 90 days.
A copy of the Underwriting Agreement is attached as Exhibit 1.1 to this report and is incorporated by reference herein. The foregoing description of the terms of the Underwriting Agreement is only a summary of the material terms of the Underwriting Agreement, does not purport to be complete and is qualified in its entirety by reference to such exhibit.
