Item 8.01 Other Events
On January 18, 2013, NextEra Energy Capital Holdings, Inc., a wholly-owned subsidiary of NextEra Energy, Inc. (NEE), sold $450 million principal amount of its Series J Junior Subordinated Debentures due January 15, 2073 (Debentures). The Debentures will bear interest at 5.00% per year, payable quarterly. The Debentures are unconditionally and irrevocably guaranteed on a subordinated basis by NEE. The Debentures were registered under the Securities Act of 1933 pursuant to Registration Statement Nos. 333-183052, 333-183052-01 and 333-183052-02. This Current Report on Form 8-K is being filed to report as exhibits certain documents in connection with the sale of the Debentures.
