The grants referred to in the Notice from NASDAQ were issued as compensation to employees in 2005, 2004, 2003, 2002, 2001 and 2000. An aggregate of 768,500 shares were granted for which shareholder approval had not been obtained. The Company is submitting all of these grants for approval and ratification by the shareholders of the Company at its forthcoming Annual Meeting of Shareholders on June 1, 2005. Further, the Company is filing a Notification Form: Listing of Additional Shares for all additional shares which were issued as stock grants in accordance with NASDAQ requirements. The Company is also seeking ratification from its shareholders of its modification in 2004 of stock options for 115,000 shares each granted to Messrs. Dornau and Tieger in 1999. To regain compliance, NASDAQ has granted the Company an extension of time through the forthcoming Shareholders' Meeting.
