Item 8.01. Other Events.

On June 19, 2006, the Company issued a press release announcing the approval by the Federal Energy Regulatory Commission, of an application by its subsidiary, Eastern Shore Natural Gas Company, for the construction of $33.6 million of new pipeline facilities to provide firm natural gas transportation service to meet customer requirements for the years 2006 through 2008.

A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated by reference herein.
