Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
 
On September 29, 2014, the Board of Directors (the “Board”) of SAExploration Holdings, Inc. (the “Company”) appointed Trisha M. Gerber to serve as Chief Accounting Officer of the Company, effective immediately.

Ms. Gerber, age 43, has over 15 years of experience accounting and financial planning and reporting expertise and experience. Ms. Gerber previously worked with INX, Inc. and Atwood Oceanics, Inc., to assist with the implementation and management of various corporate accounting and financial reporting functions. Ms. Gerber earned her BS in Accounting and MBA from the University of Texas and is a licensed Certified Public Accountant.

A copy of the press release issued on September 29, 2014, regarding Ms. Gerber’s appointment is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 5.02.

Item 8.01. Other Events.

On September 22, 2014, the Company issued a press release announcing a project award extension for an existing contract in Alaska and three new project awards in Alaska and South America with an aggregate value of approximately $40 million.
