Amended and Restated Definitive Transaction Framework Agreement

On October 31, 2012, General Motors LLC, an indirect wholly-owned subsidiary of General Motors Company, signed an Amended and Restated Definitive Transaction Framework Agreement, dated as of October 31, 2012 (DTFA) with State Street Bank and Trust Company, The Prudential Insurance Company of America, and Prudential Financial, Inc. The DTFA contains immaterial changes from the original agreement filed as Exhibit 10.1 to our Quarterly Report on Form 10-Q for the period ended June 30, 2012.
