Item 8.01 Other Events.

On March 11, 2010, Robert C. Larson, the Chairman of the Board of Directors of UDR, Inc. (the "Company"), passed away. A copy of the Company’s press release announcing the death of Mr. Larson is attached to this report as Exhibit 99.1 and is incorporated herein by reference. James D. Klingbeil, the Vice Chairman of the Board, became the Chairman of the Company’s Board of Directors upon the death of Mr. Larson.
