Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 3, 2009, Allied Capital Corporation (the "Company") entered into retention agreements with certain key officers, including one of the Company’s named executive officers, Daniel L. Russell. Pursuant to these agreements, in the event of a separation from service within 90 days prior to or 18 months following a change in control of the Company, other than a termination of employment for cause, the officer will receive a retention payment to be paid in a lump sum six months following the officer's separation of service.
