On August 28, 2006, Nordson Corporation issued a press release announcing the intended retirement of Peter S. Hellman, President and Chief Financial and Administrative Officer and a member of its Board of Directors. Mr. Hellman’s decision to leave the company at this time was based on his desire to pursue a variety of activities, including greater involvement in the many not-for-profit organizations that he supports. He has agreed to stay on until his successor is named. A copy of the press release is filed with this Form 8-K as Exhibit 99.1 and is hereby incorporated by reference in this Item 5.02.
