Item 5.02.         Departure of  Certain Officers

On March 13, 2009, as part of the efforts of Footstar, Inc. (the "Company") to wind down its business, the Company determined to eliminate the position of Senior Vice President, General Counsel and Corporate Secretary held by Maureen Richards, eliminate the position of  Senior Vice President, Chief Financial Officer held by Michael J. Lynch and eliminate the position of  Vice President, Controller and Principal Accounting Officer held by Craig M. Haines. In each case the  expected effective date of termination is  May 15, 2009.
