Following an annual review of the Companys executive compensation program and policies, on February 18, 2014, the Companys Organization & Compensation Committee authorized the Company to enter into amendments to the change of control agreements between the Company and various executive officers. In each case, the amendment will be effective as of January 1, 2014, and provides that in the event that the executive officers employment is terminated by the Company without Cause or by the executive for Good Reason within twenty-four months following a Change in Control (as each term is defined in the CIC Agreements), or by the Company without Cause under certain circumstances prior to a Change in Control, the payment owed to the executive officer in the event of a change of control would be limited in all circumstances to a multiple of annual base salary and target incentive compensation. In addition, on February 18, 2014, the Committee adopted a new form of change of control agreement to be used for executive officers from and after February 18, 2014. The form of amendment to existing change of control agreements and the new form of change of control agreement are listed as Exhibits 10.1 and 10.2 hereto and incorporated by reference herein.
