Item 8.01 Other Events.

On March 16, 2010, The Western Union Company (the “Company”) issued a press release announcing, among other things, the extension of the early participation period in connection with its exchange offer for a portion of the Company’s outstanding debt securities. The early participation period was originally scheduled to expire on March 15, 2010 at 5:00 p.m., New York City time. The company has extended the period during which tendering holders will be eligible to receive the early participation payment through the expiration date. All other terms of the exchange offer remain unchanged. Holders of the old notes whose tenders are accepted will receive a new series of notes due April 1, 2020 (the “new notes”). A copy of the press release is filed as exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

The new notes have not been registered under the Securities Act of 1933 or any state securities laws. Therefore, the new notes may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act of 1933 and any applicable state securities laws.
