Item 2.02 Results of Operations and Financial Condition.

On March 15, 2010, Gastar Exploration Ltd. (the “Company”) issued a press release containing the Company’s results of operations for the three months and twelve months ended December 31, 2009 and announcing a delay in the release of its financial results for the year ended December 31, 2009 and the filing of its Annual Report on Form 10-K for the year ended December 31, 2009 pending completion of a review of accounting valuation adjustments of certain outstanding employee stock options with exercise prices denominated in Canadian dollars A copy of the Company’s press release, dated March 15, 2010, is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

In accordance with General Instruction B.2 of Form 8-K and the Securities and Exchange Commission Release No. 33-8176, the information presented herein under Item 2.02 and under Item 9.01 related thereto of Form 8-K, shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, or otherwise subject to the liabilities of that section, and is not deemed to be incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Securities Exchange Act of 1934.
