DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

(c) On March 10, 2010, the Company’s Board of Directors approved the promotion of John McKay to Executive Vice President from Senior Vice President. He will be Chief Operating Office in charge of the Northern Division. This position was previously occupied by Executive Vice President Doug Schutt, who has become Executive Vice President in Charge of Merchandising. Mr. McKay previously was Senior Vice President in charge of the Northwest Region and has worked at various positions with the Company since 1983. He will report to Senior Executive Vice President Dick DiCerchio. Mr. Schutt will report to President and Chief Operating Officer W. Craig Jelinek.
