DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

(d) Effective February 17, 2010, the Board of Directors of Costco Wholesale Corporation elected W. Craig Jelinek as a director to fill a newly-created vacancy on the Board. As previously announced, on January 28, 2010, Mr. Jelinek was appointed President and Chief Operating Officer of the Company.
