(d) | On June 11, 2009, the Board of Directors of the Company elected Lawton W. Fitt, 55, to fill a current vacancy on the Board for a term ending on the date of the Annual Meeting of Shareholders in April 2010. Ms. Fitt was not appointed to serve on any of the Boards Committees at this time. |
Ms. Fitt is a retired partner of Goldman Sachs, where she worked until 2002. From 2002 to 2005, she served as Secretary (Chief Executive Officer) of the Royal Academy of Arts in London. She currently serves on the Boards of Directors of Ciena Corporation, Thomson Reuters, Frontier Communications and Overture Acquisition Corporation, and she is a trustee of several not-for-profit organizations.
There are no arrangements or understandings between Ms. Fitt and any other person, pursuant to which she was elected as a director. Ms. Fitts compensation as a director will be provided on the same basis as that provided to the Companys other non-employee directors, as further described in the Companys Proxy Statement dated March 13, 2009, at pages 48-50.
