On November 12, 2008, the board of directors (the Board) of Radian Group Inc. (the Company) amended the Companys By-Laws to adopt a majority voting standard for the election of directors in uncontested elections and to make certain other minor changes. Under the Companys majority voting standard, a nominee for director must receive a majority of the votes cast (meaning that the number of shares voted for a director must exceed the number of votes cast against that director) in order to be elected to the Board. If a sitting director fails to receive a majority of the votes cast, the Board will determine within 90 days of such vote whether to accept the previously submitted resignation of such director. Alternatively, the director may retire from the Board during this 90 day period. In contested elections, the voting standard will continue to be a plurality of the shares represented in person or by proxy and entitled to vote on the election of directors.
The By-Law amendment was effective upon approval by the Board. The preceding description of the amendment is qualified in its entirety by reference to the prior form of the Companys By-Laws and to the Companys Amended and Restated By-Laws, copies of which are filed respectively as Exhibits 3.2(i) and 3.2(ii) to this Current Report on Form 8-K and which are incorporated herein by reference.
