(b) On March 13, 2007, Dixie L. Mills notified Kana Software, Inc. (“KANA”) of her resignation, effective as of March 16, 2007, from KANA’s Board of Directors (the “Board”) and all committees of the Board, including her positions as a member of the Audit Committee and as chairperson of the Governance and Nominating Committee. In resigning, Dr. Mills cited professional time constraints and the need to focus on her other professional commitments. There were no disagreements between KANA and Dr. Mills which led to her resignation.
