Item 1.01   Entry into a Material Definitive Agreement.
Item 2.03   Creation of a Direct Financial Obligation or an Obligation under an Off- Balance Sheet Arrangement of a Registrant.

 

On October 5, 2005, Clark County, Nevada issued, for the benefit of Southwest Gas Corporation, $100 million in 4.85% Industrial Development Revenue Bonds (IDRBs) Series 2005A pursuant to a financing agreement and indenture, each dated as of October 1, 2005. The IDRBs were issued at a discount of 0.75% and are due October 1, 2035. The proceeds from the IDRBs will be used by Southwest to expand and upgrade facilities in Clark County, Nevada.
