Explanatory Note

 

This Amendment No. 1 (the “Amendment”) to Form 8-K of Exelixis, Inc. (the “Company”) amends the Company’s Form 8-K, originally filed with the Securities and Exchange Commission on June 13, 2005 (the “Original Filing”). The Company is filing this Amendment solely to correct an inadvertent error in the numbering of Item 2.01. In the Original Filing, Item 2.01, Completion of Acquisition or Disposition of Assets, was incorrectly numbered as “Item 3.02 Completion of Acquisition or Disposition of Assets”. The corrected Item 2.01 in this Amendment entirely supersedes the applicable item in the Original Filing (all other items remain unchanged from the Original Filing).
