Item 1.01 Entry into a Material Definitive Agreement

 

On May 1, 2005 the Company entered an employment agreement with Alison Tanner, its Chief Strategist. Under the terms of the agreement, Ms. Tanner is entitled to an annual base salary of $189,000. The employment agreement provides for an eighteen month term and renewal by mutual agreement unless sooner terminated for cause, death, or a change in control. The employment agreement includes certain non-competition and confidentiality provisions.
