(1) | As described in the Issuer's Registration Statement on Form S-1 for the Issuer's initial public offering (the "IPO"), the Reporting Person holds restricted stock units ("RSUs"), the vesting of which are subject to the satisfaction of both a time-based vesting condition and a liquidity event-based condition. The time-based vesting condition is monthly over four years beginning on the vesting commencement date of December 8, 2010. The board of directors of the Issuer approved an acceleration of vesting of the Reporting Person's RSUs such that 150,000 shares subject to the RSUs were settled upon the pricing of the Issuer's follow-on offering on April 18, 2012, and such shares became fully-vested on such date. |
