At the regularly scheduled meeting of the Board of Directors of City Holding Company ("the Company") held on August 31, 2005, Edward M. (Ned) Payne, III was elected to serve as chairman of the board, succeeding Gerald R. (Jerry) Francis who resigned as chairman and director of the Company on August 1, 2005. The Company issued a news release, attached as Exhibit 99, announcing Mr. Payne's election as chairman on August 31, 2005. Furnished as Exhibit 99 and incorporated herein by reference is the news release issued by the Company.
