Updated Pro Forma Financial Information
 
In connection with the transactions contemplated by the Agreement and Plan of Merger, dated as of December 19, 2013, by and among Essex Property Trust, Inc. (“Essex”), BEX Portfolio, Inc., formerly known as Bronco Acquisition Sub, Inc. (“Merger Sub”), and BRE Properties, Inc. (“BRE”), Essex has included the information contained in Exhibit 99.1 to this Current Report on Form 8-K in order to update certain selected unaudited pro forma condensed consolidated financial information of Essex after giving effect to the merger of BRE with and into Merger Sub, with Merger Sub continuing as the surviving corporation and a wholly owned direct subsidiary of Essex, as if the merger had occurred on December 31, 2013 for balance sheet data and on January 1, 2013 for statement of income data.
