Item 8.01 Other Events
On January 15, 2009, the Federal Reserve Board announced its approval of the application filed by Protective Life Corporation (Protective) to become a bank holding company by acquiring Bonifay Holding Company, Inc. (BHC) and its subsidiary bank, The Bank of Bonifay (the Bank), each of Bonifay, Florida. As Protective has previously announced, Protective has entered into an agreement to acquire BHC and the Bank. Protectives acquisition of BHC and the Bank is conditioned upon, among other things, the receipt of all required regulatory and third-party approvals, Protective Lifes completion of satisfactory due diligence, the approval of the transactions by the stockholders of BHC, Protective Lifes receipt of funding from the United States Department of the Treasury under the Capital Purchase Program of the Troubled Assets Relief Program, and other customary conditions. The approval by the Federal Reserve Board is one of the required regulatory approvals.
